End-User License Agreement for the Software

The following is a legal agreement between you and Panasonic System Networks Co., Ltd. ("Panasonic"). Carefully read all the terms and conditions of this Agreement prior to downloading the SOFTWARE. Downloading the SOFTWARE indicates your acceptance of these terms and conditions. If you do not agree to these terms and conditions, do NOT download the SOFTWARE. The SOFTWARE is to be downloaded for exclusive use with Panasonic encoder/decoder product (the "Product") to develop your system product that utilizes the Product.

Article 1 Intellectual Property Rights:

You acknowledge that you are receiving only a limited license to use the SOFTWARE, and that you shall obtain no title, ownership nor any other rights in or to the SOFTWARE, all and any portion of which title and rights shall remain with Panasonic and/or its licensor.

Article 2 License and Restrictions:

You have the non-exclusive right to use the SOFTWARE to develop your system product that utilizes the Product. Except as provided herein, you may not (a) use, copy and/or transfer the SOFTWARE to any third party apart from the Product, (b) modify the SOFTWARE or (c) attempt to reverse engineer, decompile or disassemble any portion of the SOFTWARE.

Article 3 Terms:

This license is effective until terminated. You may terminate this Agreement at any time by destroying the SOFTWARE and related documentation and all copies thereof. This license will also terminate if you fail to comply with any term or condition of this Agreement. Upon such termination, you agree to destroy the SOFTWARE and related documentation and all copies thereof.

Article 4 Warranty:

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT ANY WARRANTY. EXCEPT AS EXPRESSLY PROVIDED HEREIN, NEITHER PANASONIC NOR ITS LICENSOR MAKES OR PASSES ON TO YOU OR OTHER THIRD PARTY, ANY WARRANTY OR REPRESENTATION INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTY OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, NEITHER PANASONIC NOR ITS LICENSOR WARRANTS THAT THE SOFTWARE WILL BE ERROR-FREE OR THAT IT WILL MEET YOUR REQUIREMENTS. NEITHER PANASONIC NOR ITS LICENSOR SHALL BE LIABLE FOR ANY DAMAGE SUFFERED BY YOU, INCLUDING, BUT NOT LIMITED TO, CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGESFOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE. THE ABOVE LIMITATIONS SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT PRODUCT LIABILITY OR OTHERWISE, EVEN IF PANASONIC OR ITS LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Article 5 No Assignment:

You shall not assign or transfer its rights or delegate its performance under this Agreement without the prior written consent of Panasonic, and any such assignment, transfer or delegation without such consent shall be void.

Article 6 Licences :

THIS SOFTWARE IS LICENSED UNDER THE AVC PATENT PORTFOLIO LICENSE FOR THE PERSONAL USE OF A CONSUMER OR OTHER USES IN WHICH IT DOES NOT RECEIVE REMUNERATION TO (i) ENCODE VIDEO IN COMPLIANCE WITH THE AVC STANDARD (“AVC VIDEO”) AND/OR (ii) DECODE AVC VIDEO THAT WAS ENCODED BY A CONSUMER ENGAGED IN A PERSONAL ACTIVITY AND/OR WAS OBTAINED FROM A VIDEO PROVIDER LICENSED TO PROVIDE AVC VIDEO. NO LICENSE IS GRANTED OR SHALL BE IMPLIED FOR ANY OTHER USE. ADDITIONAL INFORMATION MAY BE OBTAINED FROM MPEG LA, L.L.C. SEE HTTP://WWW.MPEGLA.COM
This software incorporates G.722.1 and G.722.1 Annex C licensed by Polycom(R).
This software incorporates Qt library licenced by Digia Plc. Please read "EULA" of system settings of this software.

Article 7 Open Source Software:

Parts of this SOFTWARE use Open Source Software supplied based on the conditions of the Free Software Foundation’s GPLs and/or LGPLs and other conditions. Relevant conditions apply to this SOFTWARE. Therefore, please read license information about GPLs and LGPLs, and "License Info." of system settings of this SOFTWARE before using this SOFTWARE. Also, some software parts of this SOFTWARE are licensed under the MOZILLA PUBLIC LICENSE (MPL). At least three (3) years from downloading this SOFTWARE , Panasonic will give to any third party who contacts us at the contact information provided below, for a charge of no more than the cost of physically distributing source code, a complete machine-readable copy of the corresponding source code and the copyright notices covered under GPL, LGPL, and MPL. Please note that software licensed under GPL, LGPL, and MPL is not under warranty.

Article 8 Export Control:

You agree not to export or re-export to any country the SOFTWARE in any form without the appropriate export licenses under the laws and regulations of the country where you reside, and, if necessary, re-export licenses under the U.S. or foreign export laws and regulations. You also agree that you shall not make use of the "SOFTWARE" for "Military Purposes." In this Article, " Military Purposes" means the design, development, manufacture or use of any weapon including without limitation nuclear weapon, biological weapon, chemical weapon and missiles.

Article 9 Governing Law and Jurisdiction:

This Agreement will be governed by and construed in accordance with the laws of Japan. You agree that any action related to this Agreement will be brought in the District Court of Tokyo, Japan.
